Job description
We are looking for a proactive, solutions-focused commercial lawyer with trade and supply chain experience gained in a law firm or with a financial institution to join us as TASC's Head of Legal. You would ideally have experience handling a wide range of legal matters and are comfortable advising senior management on complex, multi-jurisdictional legal matters. The scope of legal work will be varied and includes drafting and negotiation of various legal documentation, advising on product structuring, partnership arrangements, regulatory matters and the provision of corporate secretarial services.

Strategy and Advisory
  • Overall responsibility for Legal matters and managing TASC's legal requirements.
  • Work in alliance with CEO and SC Ventures Legal to ensure compliance by TASC and its directors with (i) relevant regulatory requirements, (ii) privacy laws, (iii) outsourcing requirements and (iv) any policies, standards and guidelines applicable to TASC as approved by the board.
  • Draft intragroup services agreements (as applicable)
  • Provide general corporate and commercial legal support across the business, supporting its needs in Singapore and elsewhere as it expands into new territories.
  • Drafting and negotiating a range of commercial agreements, including NDAs, MOUs, software development, SaaS, data transfer, strategic partnerships, product-specific terms, terms of use and privacy policy for TASC's platform and ensuring original agreements are properly secured and maintained.
  • Establish and maintain strong governance of services and products.
  • Work closely with stakeholders to structure and develop products/ services from scratch, including reviewing and working through process flows and understanding complexities of the relevant product(s) and technology and provide legal insight and expertise on existing and developing business propositions.
  • Advising on legal and regulatory matters (including licensing) associated with transactions, partnership and product structure, operations and entry into new markets, including IP and data privacy/ protection.
  • Working with SC Ventures Compliance to ensure TASC's compliance with applicable laws and regulations in relation to its activities, including those relating to international sanctions, AML, ABAC and fraud.
  • Engage, procure and manage external counsel support as and when required
Risk Management and Governance
  • Execute the relevant aspects of the Legal policies through robust independent risk control and the provision of specialist advice and constructive challenge in a manner proportionate to the nature, scale and complexity of TASC's business
  • Assure that legal risks are identified and mitigated, or are raised and risk-accepted by SC Ventures and appropriate legal templates are developed and used for dealings with third parties with adequate protections and remedies to address end to end product risks, and ensure that transactions with third parties are valid and enforceable under relevant laws
  • Keep updated on relevant changes in law and regulations, shifting industry or market practices and litigation affecting TASC.
  • Participate in the Board Risk Committee and Enterprise Risk Committee and manage issues involving product related legal, regulatory and reputational risks,
  • Provide input for the design of related controls and control monitoring and reporting at the local subsidiary.
  • Work with the company secretarial outsource service providers to file reports or events with the registrar of Companies.
  • Close cooperation with the SC Ventures Corporate Secretariat in relation to governance of the company.
  • Act as the Responsible Person for purposes of updating Blueprint, our entity management system.
Board Support
  • Arrange board meetings and all aspects of board logistics to ensure a smooth running, including but not limited to arranging off-sites, meetings out of Singapore and audio/ video conference facilities, preparing and distributing board meeting documentation.
  • Coordinate and follow through the execution of all board resolution and minutes, including any underlying documents approved to be signed.
  • Assisting the SC Ventures Company Secretary in the on-boarding and induction of INEDs and NEDs in relation to TASC directors
Regulatory & Business Conduct
  • Display exemplary conduct and live by the Group's Values and Code of Conduct.
  • Proactively support and challenge the venture to exhibit appropriate conduct, comply with regulatory and compliance requirements and strive to achieve fair outcome for the venture's clients and other stakeholders
  • Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct in the venture. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct of Standard Chartered Bank.
  • Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.
Qualifications, Skills & Experience
  • Qualified to practice in Singapore or other common law jurisdiction
  • 8+ years' post qualification experience in financial services/ technology/ corporate law in Singapore and APAC region.
  • Experience handling a wide range of legal matters, including commercial contract matters, employment and regulatory matters.
  • Knowledge/ experience in trade and supply chain finance and fintech preferred.
  • Strong analytical and communication skills with ability to counsel senior management on complex legal matters and make clear recommendations regarding legal issues.

SC Ventures ("SCV") was established in 2018 with the purpose of "Rewiring the DNA in Banking" by bringing three distinct areas together:
  • The eXellerator Lab, enabling innovation at large in the Bank by supporting intrapreneurs and their ideas, collaborating with fintech's through the SCV Fintech Bridge and engaging with clients and co-creation ideas
  • The Investment Fund ("Fund"), tasked to acquire minority stakes in fintech companies ("fintechs") whose technology has been successfully validated in the Group
  • Venture building, with the objective of exploring new business models ("ventures"), in the way it engages existing new customers and markets.
