Position Purpose

The role is a full time part of Derivatives and Securities LEGAL, reporting hierarchically to the APAC Head
of CCFR and Securitised Products, Derivatives and Securities LEGAL (the "Manager"), and provides
transactional legal support to:

1. the Commodities, Credit, FX and Rates Derivatives (CCFR) businesses in Asia Pacific, covering
structured/complex derivative and repo transactions, issuances of structured securities (including
repackagings) and physical/synthetic commodities matters etc, and

2. the Securitised Products (SP) business in Asia Pacific, covering the origination and structuring of
asset finance and traditional / synthetic securitization solutions such as ABS, RMBS, ABCP, and
warehousing across a variety of financial instruments.

Key Responsibilities

• Provide legal advice, legal support and manage legal risks for the CCFR and SP businesses within
Global Markets, across 13 markets in APAC;
• Work closely with front office (including Structuring and Sales) and support functions (including Risk,
Compliance and Operations) to support the CCFR and SP businesses;
• Liaise with internal legal colleagues and external advisers in: (a) reviewing and drafting term sheets,
non-disclosure agreements and other miscellaneous documentation; (b) reviewing and drafting /
commenting on transaction contract documentation; (c) providing legal sign-off on transactions and ad
hoc legal issues; (d) advising internal colleagues on contract documentation and procedure; and (e)
advising internal colleagues on legal and regulatory issues affecting the transactions or business;
• Apply rigorous discipline to the use of external and internal legal resources;
• Monitor and ensure that the Business and other functions are kept up-to-date with legal and regulatory
developments affecting CCFR and SP products, and help BNP Paribas manage regulatory change in
APAC which can arise from global and regional regulatory reform;
• Participate in CCFR and SP Credit Committees and Transaction Approval Committees, including by
conducting legal analysis of new transactions or activities and representing Legal in the committee
meetings where appropriate; and
• Work with lawyers across Derivatives and Securities LEGAL, globally and regionally, to
develop/maintain relevant group/regional policies and procedures, develop/share know-how and
implement best practice, and contribute to efficiency / technology projects.
• Assisting with the coordination of, and contribute to, education and training programmes and the
sharing of know-how in CCFR and SP across Derivatives and Securities LEGAL.
• Contributing to regional and global communications within CCFR and SP and, as required, Derivatives
and Securities LEGAL, including the CCFR and SP LEGAL SharePoint sites.

Specific Qualifications Required

• Lawyer qualified in common law jurisdiction, with more than 5 years of post-qualification experience in
one or more of Commodities / Credit / FX / Rates derivatives / securitization products, gained at an
international law firm and/or a global financial institution. Experience in structured credit and/or
sustainability linked derivatives would be an advantage. On the job training will be provided to
address any experience gaps.
• Fluency (written and spoken) in English. Proficiency in Mandarin or another Asian language would be
an advantage.
